Terms of Service

Note: If your organization has entered into a separate written agreement with Skopos, such as an Order Form, Master Services Agreement, Data Processing Addendum, or similar agreement, that written agreement controls to the extent it conflicts with these Terms.
1. Acceptance of Terms
These Terms of Service (the “Terms”) govern your access to and use of the Skopos vendor risk management platform and related websites and services (collectively, the “Service”) provided by Skopos, Inc. (“Skopos”, “we”, “us”, or “our”). By accessing or using the Service, or by clicking to accept these Terms, you agree to be bound by them. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.
2. Description of the Service
Skopos is a multi-tenant, software-as-a-service platform that helps organizations assess, monitor, and manage the risk posed by their third-party vendors. Features may include vendor questionnaires, risk assessments and scoring, evidence and document management, reporting, and integrations with third-party systems. We may add, modify, or discontinue features from time to time.
3. Accounts & Eligibility
To use most features of the Service you must register for an account. You agree to provide accurate information, to keep your credentials confidential, and to be responsible for all activity that occurs under your account. You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for ensuring that the users you authorize comply with these Terms.
4. Acceptable Use
You agree not to:
- Use the Service in violation of any applicable law or regulation.
- Attempt to gain unauthorized access to the Service, other accounts, or other tenants' data.
- Probe, scan, or test the vulnerability of the Service except as expressly authorized in writing.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer, decompile, or attempt to derive the source code of the Service, except as permitted by law.
- Upload malicious code, or content that infringes the rights of, or is unlawful or harmful to, any third party.
- Resell, sublicense, or otherwise make the Service available to third parties except as expressly permitted.
5. Subscriptions, Fees & Billing
Access to the Service is provided on a subscription basis as described in your applicable Order Form or plan selection. Fees are billed in advance and are non-refundable except as required by law or expressly stated in your agreement. Payments are processed through our third-party payment processor, Stripe; by providing payment information you authorize us and Stripe to charge the applicable fees. We may change fees on renewal with reasonable notice. You are responsible for any taxes associated with your subscription other than taxes on our income.
6. Customer Data & Intellectual Property
Your data.As between you and Skopos, you retain all rights to the data, documents, and content you submit to the Service (“Customer Data”). You grant Skopos a limited license to host, process, transmit, and display Customer Data solely as necessary to provide, secure, support, maintain, and operate the Service and as otherwise described in our Privacy Policy.
We do not sell Customer Data, and we do not use Customer Data to train artificial-intelligence models except where your organization separately agrees in writing. We may use aggregated or de-identified information derived from use of the Service to improve and operate the Service, provided that such information does not identify you, your organization, your vendors, personnel, or uploaded evidence.
Our property. The Service, including its software, design, and all related intellectual property, is and remains the exclusive property of Skopos and its licensors. Except for the rights expressly granted to you, no rights are transferred. The Skopos name and logo are trademarks of Skopos and may not be used without our prior written permission.
7. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Skopos does not warrant that the Service will be uninterrupted, error-free, or secure, or that risk assessments, scores, or outputs are complete or suitable for any particular decision. The Service supports, but does not replace, your own due-diligence and risk-management judgment.
8. Limitation of Liability
To the maximum extent permitted by law, in no event will Skopos be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Skopos's total aggregate liability arising out of or related to these Terms or the Service will not exceed the amounts you paid to Skopos for the Service in the twelve (12) months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
9. Term & Termination
These Terms remain in effect while you use the Service. You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ceases; provisions that by their nature should survive (including ownership, disclaimers, limitation of liability, and governing law) will survive. Handling of Customer Data following termination is described in our Privacy Policy.
10. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or relating to these Terms or the Service will be the state and federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of those courts, except where prohibited by applicable law.
11. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through an in-app notice before the changes take effect. Your continued use of the Service after the changes become effective constitutes acceptance of the revised Terms.
